At FRAME, strong governance is the backbone of our mission. We are guided by a transparent and democratic structure that ensures accountability, inclusivity, and strategic decision-making.

Organizational Structure​

FRAME operates under a clear two-tier governance model that ensures effective decision-making and implementation.

Board of Directors (BoD)

The primary decision-making body responsible for strategic direction and oversight.

All governance decisions align with FRAME’s Constitution and Bylaws, approved by its members.

Executive Officers & Functional Teams

Implement programs and ensure day-to-day operations across all focus areas.

Teams are organized by function and report to the Board of Directors.

 

Board of Directors

Composition & Responsibilities

The Board consists of 15 members (adjustable based on organizational needs) who hold legal and ethical oversight of FRAME.

Key Responsibilities:

  • Hold legal and ethical oversight of FRAME
  • Approve new programs and teams
  • Manage finances, assets, and fundraising
  • Represent FRAME in national and international forums
  • Elect officers and approve strategic plans
  • Enforce organizational policies and handle disputes

Meetings & Elections

Meetings:

  • Regular meetings (quarterly or as needed)
  • Special meetings may be called by request
  • Simple majority for routine decisions; two-thirds vote for major actions

Elections:

Held every 3 years. Directors are elected by voting members and may serve a maximum of two consecutive terms.

Executive Team

This is the leadership body elected from within the Board of Directors to manage executive responsibilities. The term duration is 3 years, aligned with the BoD cycle.
